1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and YATI Media, LLC ("YATI Media," "we," "us," or "our"), a California limited liability company located at 676 Windmill Lane, Pleasanton, CA 94566.

4. User Content

If you submit, post, or transmit any content to our Sites (including comments, feedback, or suggestions), you grant YATI Media a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights to the content you submit, that the content is accurate, and that use of the content does not violate these Terms or any applicable law.

5. Disclaimer of Warranties

THE SITES AND ALL CONTENT, PRODUCTS, AND SERVICES AVAILABLE THROUGH THE SITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

YATI MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• Any conduct or content of any third party on the Sites
• Any content obtained from the Sites
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITES EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO YATI MEDIA IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted in Alameda County, California. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Sites and updating the "Last Updated" date. Your continued use of the Sites after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Sites.
